Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the EasyProposal.ai website and application (the “Service”) operated by Bithaven Capital Management, LLC (“EasyProposal,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1 Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or station, you represent that you are authorized to bind that organization to these Terms.

You are responsible for the activity that happens under your account and for keeping your login credentials secure. Notify us promptly of any unauthorized use.

2 The Service

EasyProposal is a software tool that helps advertising sales professionals build branded proposals and related documents, including AI-assisted scripts, strategy, and copy. We may add, change, or remove features over time. We do not provide advertising, media-buying, legal, or financial advice, and the Service is a tool you use at your own discretion.

3 Subscriptions, free trial, and billing

Plans and free trial

The Service is offered on subscription plans, which may include a free trial. If your plan includes a free trial, the trial runs for the stated period and ends automatically. You will only be charged if you choose to subscribe.

Billing and renewal

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you choose) through our payment provider, Stripe. Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method for the applicable fees and any taxes.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will continue to have access until then.

Refunds

Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial periods, unused time, or features not used.

Price changes

We may change our fees. If we do, we will give you advance notice, and the new pricing will apply to your next billing period after the notice. Your continued use after a price change takes effect means you accept the new fees.

4 Your content and data

“Your Content” means the information you enter into the Service and the proposals and documents you generate, including advertiser details, rates, branding, and text. You retain all ownership of Your Content. We do not claim ownership of the proposals you create.

You grant us a limited license to host, process, and use Your Content solely to provide and improve the Service for you, including sending inputs to our AI provider when you use AI features. You are responsible for Your Content and represent that you have the rights to use it and that it does not violate any law or third-party right.

5 AI-generated content

The Service uses artificial intelligence to help generate scripts, strategy, copy, and other material based on your inputs. AI output is provided “as is” and may contain errors, inaccuracies, or content that is not suitable for your purpose.

You are responsible for reviewing, editing, and approving all AI-generated content before you use it. This includes checking accuracy, pricing, availability, legal and regulatory compliance (such as advertising claims and disclosures), and appropriateness for your client. We make no warranty that AI output is accurate, complete, original, non-infringing, or fit for any particular purpose. As between you and us, you may use the content you generate through the Service, and we claim no ownership over it.

6 Acceptable use

You agree not to:

• Use the Service in violation of any law or third-party right;
• Enter content you are not authorized to share, or that is unlawful, infringing, or deceptive;
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service or its systems;
• Resell, sublicense, or provide the Service to third parties except as your plan expressly allows;
• Use the Service to generate content that is fraudulent, harassing, or otherwise harmful;
• Use automated means to access the Service in a way that burdens our systems, except as permitted by us.

We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to the Service or other users.

7 Intellectual property

The Service, including its software, design, and content we provide (but excluding Your Content), is owned by EasyProposal and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, or create derivative works of the Service except as expressly permitted.

8 Third-party services

The Service relies on third-party providers, including Stripe for payments, cloud and database hosting, and an AI provider for content generation. Your use of the Service may be subject to those providers’ terms, and we are not responsible for third-party services we do not control.

9 Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT, INCLUDING AI-GENERATED CONTENT, WILL BE ACCURATE OR RELIABLE.

10 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYPROPOSAL AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11 Indemnification

You agree to indemnify and hold harmless EasyProposal and its owners, employees, and suppliers from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.

12 Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

13 Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice where appropriate. Your continued use of the Service after an update means you accept the revised Terms.

14 Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Laramie County, Wyoming, and you consent to their jurisdiction. Before filing a claim, you agree to first contact us to try to resolve the dispute informally.

15 Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
